In most cases the most appropriate form of enterprise is the Limited
Company which consists of at least 7 shareholders and provides a
sound basis for the small or large business.
A Limited Company is formed with a Memorandum of Association (Articles
of Incorporation) and Articles of Association (By-Laws) as its constitution.
Shareholders' liability is limited to the amount, if any, remaining
unpaid on the par value of their shares. A Limited Company is managed
by a Board of Directors in accordance with the Memorandum and Articles
of Association on behalf of the shareholders. Companies are required
to issue share certificates to all shareholders. The procedures
