Doing Business in Thailand

APA Lawyers Ltd. provides a full service to foreign individuals and companies who wish to establish and maintain a business presence in Thailand. In most cases the most appropriate form of enterprise is the Limited Company which consists of at least 3 shareholders and provides a sound basis for the small or large business.

A Limited Company is formed with a Memorandum of Association (Articles of Incorporation) and Articles of Association (By-Laws) as its constitution. Shareholders' liability is limited to the amount, if any, remaining unpaid on the par value of their shares. A Limited Company is managed by a Board of Directors in accordance with the Memorandum and Articles of Association on behalf of the shareholders. Companies are required to issue share certificates to all shareholders. The procedures for formation and management of Limited Companies are summarised below.
